Terms and Conditions of Service supplied by P C Ray

1) Definitions

i) "Client" refers to the relevant client of P C Ray.

ii) "Supplier" refers to P C Ray.

iii) "Services" or "Service" refers to Services provided by P C Ray under contract with the client.

2) Law

All contracts entered into under the following terms and conditions shall be in the jurisdiction of England and Wales. This means, in other words, that such contracts shall be governed by the relevant laws of England and Wales, and any case on this matter would be heard in a court of England and Wales.

3) By entering into a contract for services from the Supplier the Client accepts these conditions in their entirety, both overall and regarding each individual term or condition.

4) the Supplier undertakes to perform and provide services with due care and diligence.

5) Fees for services  The Client will pay fees for any and all services provided in advance of performance of service.

6) Performance of service

i) Performance of services will be provided either at the Client’s premises, at an agreed location, or by telephone, letter or e-mail.

ii) if a service involves the supplier using the client’s equipment, the supplier’s liability for any resulting damage or loss from that service will be no greater than the fee for that day.

Iii) no meetings or other business shall take place at the Supplier’s premises.

7) Responsibilities of the Client

The Client is responsible for appraising any output of Service provided to them by the Supplier and ensuring that they use due caution and circumspection to avert any loss or damage.

8) Non-performance of service Where the amount of service provided is literally nil the Supplier will provide a full refund to the Client.

9) Rebate for partial-performance of service

Any rebate from the Supplier to the Client for service not provided completely shall not exceed the total fee for the service.

10) A discontinued regular service, eg. bookkeeping that is discontinued is deemed to have been completed with no further payments due.

11) Compensation for loss incurred by the client The Supplier's liability for compensation will limited to the the extent to which he is responsible for the loss in question. The Supplier will not be liable in any way or to any extent for loss incurred by any third party caused by any outcome of information and / or advice provided as part of any service provided by the Supplier to the Client.
